Welcome to the AC Prime® Webmaster Program. Please read the following Terms and Conditions carefully. These Terms and Conditions define your relationship with AC Prime®.

General Policies:

1. Only persons over the age of eighteen (18) years who are Webmasters of the Adult Check® system may participate in the AC Prime® Program.
   
   
2. The Adult Check® Policies are fully referenced and incorporated herein.
   
   
3. Fraud, illegal activities, unfair or deceptive trade practices or violation of the AC Prime® Terms and Conditions (as amended) will result in immediate termination of your account.
   
   
4. Any unlawful activities or activities that, within the sole and absolute discretion of AC Prime®, may be or are harmful to its reputation, image, goodwill (including but not limited to inappropriate Usenet postings or spamming) will result in immediate termination.
   
   
5. AC Prime® may terminate your AC Prime® payment at any time with or without cause, without prior notice.
   
   
6. AC Prime® will provide you with a selection of banners and advertising materials. You may post as many of these banners and advertising materials on your site(s) as you wish.
   
   
7. Webmasters may create their own banners and ads for use in the AC Prime® Program. There is no compensation for making banners and ads.
   
   
8. AC Prime® retains all copyright and ownership in the banners and ads provided by AC Prime®. AC Prime® hereby grants you the right to post banners and ads provided by AC Prime®, solely to advertise and to send traffic to AC Prime®. Upon the termination of your participation in the AC Prime® Program, this grant of rights shall cease and you must immediately remove all AC Prime® banners and ads from your web sites.
   
   
9. All Webmasters using AC Prime® are granted a limited use license to use and display the AC Prime® logos, banners, trademarks.
   
   
10. Violation of the AC Prime® limited use license of trademarks and copyrighted materials is prohibited.
    
    
11. Use of AC Prime® trademarks and copyrighted materials to obtain any personal information of any customer is strictly prohibited.
    
    
12. Any failure or delay in the enforcement of the AC Prime® Terms and Conditions shall not be deemed a waiver or modification of any terms hereof.
    
    
13. Interpretation, modification, termination and enforcement of these Terms and Conditions shall, at all times, be within the sole and absolute discretion and control of AC Prime®.
    
    
14. AC Prime® reserves the right to change or amend these Terms and Conditions at any time without notice. Our Terms and Conditions are subject to change at any time, without prior notification.
    
    
15. Each Webmaster using AC Prime® shall indemnify and hold AC Prime® harmless from any and all liabilities, claims, damages (including attorney's fees) threatened or incurred as a result of the Webmaster's activities.
    
    
16. Each Webmaster using AC Prime® acknowledges that it is their sole responsibility to report, file, and pay any and all applicable taxes.
    
    
17. No commissions will be paid on fraudulent or illegal transactions and payments may be withheld if fraud is suspected.
    
    
18. Webmasters using AC Prime® may not send unsolicited commercial e-mails ("Spamming"). If AC Prime® receives a complaint from any source regarding Spamming, AC Prime® may terminate your account, without notice, immediately.
    
    
19. Webmaster agrees and are bound by these Terms and Conditions which shall be construed under the Laws of the State of California. Jurisdiction and venue for any dispute arising hereunder shall be in Los Angeles County, California.
    
    
20. By participating in the AC Prime® Program, the services provided by AC Prime® include certain communications from AC Prime®, such as service announcements and administrative messages via email or postal mail.
    
    

Accounting Policies:

1. Commission payments are paid out once a month. Your AC Prime® commission payment will be added to the second Adult Check® check that is sent out every month. Your Adult Check® check will have a separate line delineating the amount of your total AC Prime® commissions earned in the preceding month.
   
   
2. All AC Prime® commission payments are contingent on AC Prime® receiving full payment from the third party that is selling their services through the AC Prime® program.
   
   
3. Commission payments are paid based on a sliding scale. You will earn a percentage of gross sales sent in a given calendar month.
   
   

4. AC Prime® records will prevail in determining all commission payments.
